1. Acceptance of Terms

By accessing or using the services provided by Polara AI Inc. ("Polara," "we," "us," or "our"), including our AI CMO platform and any associated applications or websites, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Polara provides an autonomous AI marketing platform that helps startups and businesses acquire customers. Our AI agents analyze products, generate marketing strategies, create content, manage outreach campaigns, monitor distribution channels, and optimize conversion rates on your behalf.

3. Marketing Guidance Disclaimer

Polara provides marketing recommendations and automated execution, not guaranteed business outcomes. Marketing results depend on many factors including product quality, market conditions, and execution. Our AI agents provide data-driven recommendations and can execute marketing actions on your behalf, but we do not guarantee specific revenue, user growth, or conversion results.

4. Account Registration

You must create an account to use certain features of our services. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Provide false or misleading information
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the operation of our services
• Use our services to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of our services
• Use automated tools to scrape or extract data from our services (beyond normal use of our AI agents)

6. AI Agent Actions

Our AI agents may take actions on your behalf, such as posting content to social media, sending cold emails, creating ad campaigns, and managing marketing tools. By connecting your accounts and using these features, you authorize us to act on your behalf for the specific actions you request or approve. You acknowledge that:

• You are responsible for all content posted through your connected accounts
• You must review and approve outbound communications before they are sent
• We are not responsible for the performance of third-party platforms (Twitter, Meta, Instantly, etc.)
• Marketing results are not guaranteed and depend on many factors outside our control

7. Third-Party Integrations

Polara connects to third-party services including but not limited to Twitter/X, LinkedIn, Meta, Reddit, Instantly, Lemlist, Apollo, HubSpot, Google Analytics, and other marketing platforms. By connecting these services, you agree to the following:

• Authorization: You authorize Polara to access and take actions within your connected accounts as directed by you.
• Responsibility: You are responsible for ensuring your use of connected platforms complies with their respective terms of service.
• No Guarantees: We are not responsible for changes to third-party APIs, rate limits, account suspensions, or service availability.
• Revocation: You may disconnect any integration at any time through your dashboard settings.

8. Email and Outreach Compliance

If you use Polara to send cold emails or outreach communications, you agree to comply with the CAN-SPAM Act, GDPR, and all applicable anti-spam regulations. You shall not use Polara to send unsolicited communications to persons who have opted out. You are solely responsible for the content and recipients of outreach campaigns executed through your connected tools.

9. Pricing and Billing

Polara offers a free tier and paid subscription plans. Paid plans are billed monthly or annually. You may cancel at any time. Upon cancellation, your access continues through the end of the current billing period. Pricing is subject to change with 30 days notice. Refunds are handled on a case-by-case basis.

10. User Content and Reviews

You may submit reviews, ratings, and other content through our services. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with our services. You agree that your submitted content will be truthful and not defamatory.

11. Intellectual Property

All content, features, and functionality of our services — including text, graphics, logos, software, and AI models — are owned by Polara AI Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

12. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the maximum extent permitted by law, Polara AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

14. Termination

We may terminate or suspend your account and access to our services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use our services will immediately cease.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page. Your continued use of our services after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
